PROFESSIONAL EXPERIENCE

Chase has 30 years of experience advising businesses and individuals on complex legal and business matters.

He joined Tousley Brain Stephens in 2001 after five years at a large regional law firm, became a partner in 2004, and served as TBS’s managing partner from 2019 to 2024. In 2024, Chase became General Counsel of Rec Room Inc., a Seattle-based technology company, and transitioned to an Of Counsel role with TBS.

Chase’s practice focuses primarily on business transactions and counseling, including mergers and acquisitions, financing transactions, commercial agreements, corporate governance, and real estate transactions. He also serves as outside general counsel to closely held companies and their owners, providing practical advice on the legal and business issues that arise in operating, financing, buying, and selling businesses.

Chase has substantial transactional experience. He represented Mobile Semiconductor in its acquisition by Nordic Semiconductor in an international merger transaction and has represented closely held companies and their owners in numerous business sales and financing transactions. As General Counsel of Rec Room, he played a significant role in the company’s sale of substantially all of its operating assets to Snap Inc.

At Rec Room, Chase served as a member of the senior leadership team and advised the company and its board on corporate governance, commercial transactions, employment, intellectual property, privacy, regulatory matters, risk management, and other legal issues facing a venture-backed technology company. Following the sale to Snap, he was appointed Rec Room’s Liquidation Officer, with responsibility for overseeing the legal aspects of the company’s dissolution and wind-down.

Chase also brings more than two decades of experience as a commercial litigator and trial lawyer to his transactional and advisory practice. He has handled complex real estate, construction, insurance coverage and bad-faith, corporate, antitrust, intellectual property, and other commercial disputes in state and federal courts. That experience gives him a practical understanding of how transactions and business relationships can go wrong—and how thoughtful structuring, drafting, and advice can help avoid those problems.

Although his practice today is primarily transactional and advisory, Chase continues to selectively handle litigation involving real estate and policyholder insurance coverage and bad faith, as well as appellate matters.

Having served as a law firm managing partner, outside counsel, and general counsel, Chase brings both an outside lawyer’s and a client’s perspective to his practice. His approach is practical and business-oriented: understand the client’s objectives, focus on the risks that matter, and find an efficient way to accomplish the client’s goals.

Representative Experience
