Romney focuses his practice on two main areas: (1) corporate matters, business, business formation, structure and financing, and business transactions, and (2) real estate, acquisitions and transactions, and real estate financing. For more than 30 years, Romney has represented business owners and their companies in a broad variety of business matters including the following:

General corporate governance and advice related to same
Finance and financial debt/equity structuring
Mergers, acquisitions, reorganization, restructuring and recapitalization
Sales tax, excise tax and certain aspects of federal taxation
Negotiation and structuring of complex deals and preparation of all necessary agreements related to same
Intellectual property, IP licensing agreements and IP protection
Stock option plans, reverse vesting agreements and Section 83 issues
Master services agreements, terms of service, product and services warranties, etc
Assisting start-up companies on all fronts (formation, structuring, financing, private placement memorandums, Reg D offerings, IP issues and licensing, stock and employee matters, necessary business agreements, etc.)

Real Estate Practice
Acquisitions, sales, and exchanges of real property
Commercial and residential project development and structure, including condominiums and mixed use developments
Acquisition and development financing
Preparation and negotiation of documents and agreements related to the above
Real property title and due diligence matters, including matters dealing with easements and covenants
Romney is highly experienced in negotiating and handling a broad variety of complex legal transactions and during his years of practice has negotiated and handled more than 50 multi-million dollar transactions in the areas of business acquisitions and sales, mergers, financing, restructuring and recapitalization.
