Professional Experience

Mark focuses his practice on business transactional matters, specifically including real estate and construction. He has represented clients in all aspects relating to transactions and business structures involving corporations, partnerships, and/or limited liability companies.

Mark's practice includes representation of new companies in formation, private financing, organizational matters for early-stage and mature companies, mergers and acquisitions and joint ventures. He represents a diverse array of mid-sized local and regional corporations, as well as several international and foreign-owned companies with substantial U.S. operations. Mark represents a broad range of clients, including development and distribution companies as well as businesses involved in manufacturing and development.

In his real estate practice, Mark represents real estate owners, developers and lenders in all aspects of acquisition, finance and construction, primarily of commercial and industrial properties, including shopping centers, office parks, manufacturing sites and office buildings.

Representative Matters

Assisted one of Washington State's largest single-family home-builders in connection with a corporate reorganization which resulted in a multi-million dollar federal income tax refund.

Represented a Seattle-based liquor distributor in connection with a $26 million revolving credit facility.

Primary counsel for a Toronto-based owner/operator of nursing homes in connection with a $70 million loan secured by the facilities in three states.

Represented a Salt Lake City-based real estate investment and development firm with the $16 million acquisition of a multi-family property in Portland, Oregon, involving a tenancy-in-common (TIC) ownership deal structure.

Local counsel to the owner of the Bellevue Galleria with a two separate $55 million re-financings.

Represented the purchaser in connection with its $15 million acquisition of 2,600 acres of residential development property in Cle Elum, Washington.

Handled the $9.7 million HSBC acquisition financing for a Vancouver, B.C., and developer's land acquisition in downtown Minneapolis for the first phase of a mixed-use high-rise luxury condominium/apartment/hotel development.

Represented a Seattle developer with both sales and leasing transactions in connection with a 29-acre, 400,000 square-foot Kent Valley light industrial/office/retail mixed-use project developed jointly by the developer and LACERA.

Primary counsel for the seller in connection with the $12 million sale of an assisted living/Alzheimer's care facility in Vancouver, Washington.

Represented a Houston-based real estate investment firm in connection with the $50 million tenancy-in-common (TIC) acquisition of the Marriott SpringHill Suites in downtown Seattle.

Handled a $3.4 million Deutsche Bank/Fannie Mae apartment refinance for a local real estate investment company.

Handled over $70 million of acquisition construction and permanent financing, as well as re-financings of multiple commercial and industrial properties in the Puget Sound and Portland areas for various single asset entities owned by a local owner/developer, and negotiated numerous leases to substantial tenants including ATT Wireless, Ericsson, SBC Communications, and Rockwell-Collins.

Represented a local owner/developer in connection with the sale to a San Francisco development company of a semi-conductor manufacturing facility in Sunnyvale, CA, leased to Toshiba, including the negotiation of complete environmental indemnification and environmental insurance from Toshiba.

Represented large West Coast general contractor in connection with its construction financing and building of various commercial and industrial projects, including Stevens Center in Richland and other properties in Seattle, Kent, Renton and Everett developed for The Boeing Company.

Directed the financing and creation of a limited partnership that assembled multiple contiguous parcels of the majority of a city block in downtown Spokane to create a mixed-use development with condominiums, artist lofts, a dinner theatre/nightclub, as well as commercial spaces.

Represented an Eastern Washington hotel developer with land acquisition, construction financing and construction of three hotels in the Yakima Valley and Prosser areas.

Represented a Seattle-based yacht dealer and brokerage with its acquisition of a San Diego yacht brokerage.
